Definition

What Is a Contract and SLA Compliance Review?

A contract and SLA compliance review is an independent check that a vendor is meeting the terms of its contract: the service levels it promised, the prices and charges it agreed, and the legal and compliance duties it signed up to. It also checks that you are using your own rights, such as service credits and renewal notices.

An SLA (service level agreement) sets measurable standards for a service, such as response time, accuracy or system uptime, and what happens when the vendor misses them.

Most contracts are signed carefully and then left in a drawer. Performance drifts, prices creep up, and nobody claims the credits the contract allows.

What we check

Eight Contract Areas, Three Questions Each

For every important clause we ask: is it in the contract, can it be measured, and is anyone enforcing it? The answers show where value is leaking.

Service levels

Promised vs Delivered, Measured Every Month

We rebuild each service level from the vendor’s own reports and your system data, then compare it with the target in the contract.

Where a target is missed, we check whether the contract gives you a service credit, a fee reduction the vendor owes for poor performance, and whether it was claimed in time.

Contract and SLA Compliance Review: FAQs

It is an independent check that a vendor is meeting its contract: the service levels it promised, the prices it agreed, and its legal and compliance duties. It also checks that you are using your own rights, such as service credits and renewal notices.

An SLA, or service level agreement, sets measurable standards for a service, such as response time, accuracy or uptime, and says what happens if the vendor misses them. It can be a separate document or a schedule in the main contract.

Service credits are fee reductions a vendor owes when it misses an agreed service level, if the contract provides for them. Many contracts require you to claim them within a set time, so unclaimed credits are often lost.

The signed contract with all amendments and statements of work, the rate card, the last 6 to 12 months of invoices, the vendor’s SLA reports, and any meeting notes or emails about performance problems.

A common practice is a full review of critical vendors once a year and before every renewal, with monthly checks of SLA reports in between.

No. We review commercial terms, performance and invoices. Where a clause needs a legal opinion, such as enforceability under Bangladeshi law, we flag it for your lawyer.

It usually helps. Findings are based on the contract and the vendor’s own data, so they can be discussed calmly in a normal governance meeting instead of as a dispute.

The fee depends on the number of contracts and how much invoice data needs checking. We give you a written fixed quote after a short scoping call.
