Definition

What Is Contractor Payment Compliance?

Contractor payment compliance is the set of controls that make sure every payment to an independent contractor is approved, correctly calculated, paid on time, recorded and lawful in both the client’s country and Bangladesh.

Risk mitigation means spotting what could go wrong before money moves: fake or duplicate invoices, changed bank details, workers who are really employees, and VAT that nobody is handling.

What you receive

Payment Administration

Payment administration is delivered as part of one documented package. Redacted invoice and payment report, fee schedule, payment cut-offs and exception process are all agreed before the first payment.

Redacted invoice and payment report

Every invoice, approval and payout in one monthly report, with personal and bank details masked.

Fee schedule

Our fees, bank charges and FX handling written down before the first payment.

Payment cut-offs

Fixed dates for invoices, approvals and funding, so payouts are never a surprise.

Exception process

A written route for disputed, late or unusual payments, with an owner and a deadline.

What payment administration covers

Invoice submission, approvals, funding instructions, supported currencies and payout methods, fees, schedules, reconciliation and records.

Payment cut-offs

A Monthly Payment Calendar Everyone Can Follow

Cut-offs turn payments into a routine. Contractors know when to invoice, you know when to approve and fund, and late items go to the exception process.

Exception process

How Payment Exceptions Are Handled

Most payments are routine. The ones that are not follow a written route, so nothing is paid on a guess and nothing is held without a reason.

Invoice above approved amountHeld until you approve the difference in writing.
Missing timesheet or milestone proofReturned to the contractor before the cut-off.
Bank details changedConfirmed by a call-back to a known number before any payout.
Possible duplicate invoiceMatched against past invoices and rejected if repeated.

Local presence

Nominee/Resident Director, Part-time Country Head, and VAT Agent for non-resident companies

Some compliance risks need a person in Bangladesh, not just a process. These three roles cover governance, local leadership and VAT for overseas companies.

Governance

Nominee/Resident Director

A Bangladesh-based director for board meetings, filings and bank signing, within written authority limits. The law does not require a local director, but banks and regulators often find one practical.

Director and governance support →

Leadership

Part-time Country Head

A senior local leader for a set number of days a month who represents you with partners, banks and authorities and reports to head office.

Part-time country head →

Tax

VAT Agent for non-resident companies

A non-resident business without a physical presence in Bangladesh must appoint a VAT agent. The agent registers in your name, files returns and is jointly responsible for the VAT.

Contractors submit invoices by the cut-off. You approve or query each one in writing, then fund the total on the payment request. We pay contractors by the agreed payout method, reconcile every payment and send you a redacted invoice and payment report as the record.

Invoice submission, approvals, funding instructions, supported currencies and payout methods, fees, schedules, reconciliation and records, delivered with a redacted invoice and payment report, fee schedule, payment cut-offs and exception process.

A fixed date by which an invoice, approval or funding must arrive to be included in that payment run. Anything late moves to the next run or to the exception process.

It goes into the exception process. The payment is held, the owner is asked to resolve it by a set deadline, and the result, release or rejection, is logged in the report.

Contractor names, ID numbers and bank details are masked so the report can be shared with finance teams and auditors without exposing personal data.

They are listed in your fee schedule and confirmed during onboarding, based on what the paying and receiving banks can process. Bank charges and exchange rates are shown separately.

Every payment needs written approval, bank detail changes are confirmed by a call-back to a known number, invoices are checked for duplicates, and every payout is reconciled to bank records.

Under the VAT and Supplementary Duty Act, 2012, a non-resident business without a physical presence that makes taxable supplies in Bangladesh must appoint a VAT agent. The agent registers in the company’s name and is jointly responsible for the VAT.

There is no general legal requirement for a Bangladeshi or resident director. A private company needs at least two directors. Many foreign-owned companies still appoint a resident director for banking and day-to-day signing.

Invoices, approvals, funding confirmations, payout confirmations and reconciliations, stored for the period set in your agreement and in line with Bangladesh tax and VAT rules.
