Contractor Onboarding & Contract Management in Bangladesh

Work with Bangladesh-based independent professionals through BPO Bangladesh as your agency of record. We onboard each contractor, prepare and manage the agreement, check invoices and keep the records, so you can engage talent in Bangladesh without opening a local company.

Definition

What Is an Agency of Record (AOR)?

An agency of record (AOR), also called an agent of record, is a third party that engages independent contractors on behalf of a client. It onboards each contractor, manages the contract, checks invoices and keeps compliance records, while the contractor stays self-employed.

For overseas companies working with talent in Bangladesh, an AOR replaces dozens of separate freelance arrangements with one local partner, one agreement and one invoice.

Contractor agreements in Bangladesh are governed by the Contract Act, not the Labour Act.

Non-competes

Under Section 27 of the Contract Act, agreements in restraint of a lawful trade are void to that extent. We use confidentiality and non-solicitation terms instead.

Classification

Contractor or Employee? Keep It Clear

In Bangladesh, the label in the contract does not decide status. What matters is how much the client controls and supervises the work.

Points to an independent contractor

  • Works on defined deliverables
  • Chooses own hours and methods
  • Uses own equipment
  • Can serve other clients
  • Invoices for the work

Points to an employee

  • Follows daily instructions
  • Fixed hours set by you
  • Managed like your staff
  • Works only for you
  • Paid a monthly salary

If a relationship works like employment, a court can apply the Bangladesh Labour Act, 2006 and award benefits such as earned leave and gratuity. We check every role during the eligibility review. When it should be employment, we move it to our employer of record service.

FAQs

Agency of Record in Bangladesh: FAQs

Straight answers about onboarding and contracting independent professionals in Bangladesh.

Use an agency of record. You share the role, scope and fee. We run the eligibility review, collect identity and business documents, issue the agreement with scope of work, confidentiality and IP terms, then manage invoices, renewals and records. You do not need a Bangladesh entity.

An agency of record, also called an agent of record, is a third party that engages independent contractors on a client’s behalf. It onboards contractors, manages contracts, checks invoices and keeps compliance records.

An AOR engages self-employed contractors. An employer of record (EOR) legally employs staff for you and runs payroll and statutory benefits. Use an EOR when you need to direct someone like an employee. See EOR and payroll.

No. With an agency of record, BPO Bangladesh holds the local contract, so you can engage independent professionals in Bangladesh without registering a local entity.

Usually a national ID card or passport, a TIN certificate, bank details, a CV or portfolio, and a trade licence if the contractor works through a sole proprietorship or firm.

The agreement assigns the work product to you, normally once it has been paid for. The exact terms are set during onboarding and written into the IP clause.

Section 27 of the Contract Act, 1872 makes agreements in restraint of a lawful trade void to that extent, so post-engagement non-competes are generally unenforceable. Confidentiality and non-solicitation clauses are used instead.

Fees follow the schedule in the agreement, usually monthly or by milestone, after you approve the work. Payment method and currency are agreed during onboarding.

If a role involves daily supervision and fixed hours, it carries a misclassification risk under the Bangladesh Labour Act, 2006. We flag this in the eligibility review and can move the role to an employer of record arrangement.

Onboarding usually takes a few working days once the contractor has provided complete documents and both sides agree the scope of work.
